Abstract

This article provides a comprehensive analysis of international and comparative corporate law, examining the major corporate governance models across different legal systems, the ongoing debate between convergence and divergence of corporate law frameworks, and emerging trends shaping the global corporate legal landscape. Through comparative analysis of Anglo-American, Continental European, Asian, and emerging market models, this article explores how globalization, technological innovation, and environmental, social, and governance (ESG) imperatives are transforming corporate governance structures worldwide. The analysis incorporates empirical data on cross-border regulatory harmonization efforts, examines the role of international organizations in promoting governance standards, and evaluates challenges facing multinational corporations in navigating diverse legal regimes. This article demonstrates that while formal convergence exists in certain governance mechanisms, significant functional divergence persists due to cultural, economic, and political factors unique to each jurisdiction.
